End User License Agreement (EULA)

1. License Grant

Subject to compliance with this agreement and any separate written agreement, Stratic Systems LLC grants authorized users a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use approved Stratic Systems software, platforms, APIs, integrations, dashboards, connectors, and related services for authorized operational, evaluation, internal business, pilot, or commercial purposes.

2. Ownership and Intellectual Property

All Stratic Systems software, source code, architecture, workflows, designs, interfaces, APIs, documentation, branding, platform concepts, schemas, deployment models, and related technology remain the exclusive property of Stratic Systems LLC unless explicitly transferred through a separately executed written agreement.

Use of the software does not grant ownership rights, partnership rights, joint venture rights, source ownership, reseller rights, derivative ownership, or implied transfer of intellectual property.

3. Restrictions

Unless expressly authorized in writing, users may not:

• Reverse engineer, decompile, or disassemble the software
• Redistribute or resell the software or platform
• Copy protected architecture, workflows, or proprietary designs
• Bypass authentication, licensing, or access controls
• Remove copyright notices, trademarks, or branding
• Create competing commercial products derived from Stratic intellectual property
• Use the platform for unlawful, harmful, or unauthorized purposes

4. Client Data and Operational Information

Customer operational data, local records, engineering files, drawings, CAD geometry, repair history, asset data, documents, and related project materials remain the property of the customer or authorized organization.

Stratic Systems does not claim ownership of customer engineering files, proprietary documents, financial records, customer-specific workflows, or organizational knowledge processed by the platform.

Customer-generated knowledge, lessons learned, engineering decisions, organizational memory records, extracted information, correction history, review records, and customer-specific rules remain the property of the customer unless otherwise agreed in writing.

Approved metadata, anonymized operational signals, correction categories, workflow outcomes, rule usage patterns, system health information, and other non-sensitive platform learning signals may be used to improve Stratic Systems products unless otherwise restricted by written agreement.

Private CAD files, customer drawings, proprietary documents, financial records, and customer-controlled organizational knowledge are not considered platform learning signals unless explicitly authorized by the customer.

Certain Stratic Systems products may support local deployment, private server deployment, restricted-network deployment, or air-gapped environments. Availability of these deployment models may vary by product, license tier, and written agreement.

5. Beta, Pilot, and Development Status

Portions of the platform may operate in prototype, beta, pilot, evaluation, preview, or development status. Features may change, break, become unavailable, or be removed without notice.

Access may be suspended, revoked, modified, or limited at any time during development or evaluation periods.

6. No Professional Certification or Engineering Guarantee

Unless separately agreed in writing, Stratic Systems software does not provide licensed engineering certification, legal review, architectural stamping, code compliance guarantees, safety certification, regulatory approval, or professional sign-off services.

Users remain responsible for engineering validation, operational review, safety verification, and regulatory compliance.

6A. AI-Assisted and Knowledge-Based Features

Certain Stratic Systems products may provide AI-assisted recommendations, summaries, classifications, extracted entities, workflow suggestions, knowledge retrieval, pattern detection, organizational memory features, or related intelligence capabilities.

These features are intended to assist users and organizations in locating, understanding, preserving, and utilizing information.

Users remain responsible for reviewing, validating, approving, and applying all information before relying on it for engineering, operational, financial, legal, regulatory, safety, or business decisions.

Stratic Systems does not guarantee the correctness, completeness, suitability, or appropriateness of AI-assisted outputs.

7. Limitation of Liability

Stratic Systems LLC shall not be liable for indirect, incidental, consequential, special, exemplary, or business interruption damages arising from platform use, operational decisions, downtime, data loss, workflow interruptions, incorrect assumptions, or reliance on platform outputs.

The platform is provided "as is" without warranties of uninterrupted availability, accuracy, merchantability, or fitness for a particular purpose unless expressly stated in a written agreement.

8. Termination

Stratic Systems may terminate or suspend access immediately for unauthorized use, redistribution, misuse, security concerns, attempted intellectual property extraction, violation of this agreement, or conduct that threatens the integrity of the platform.

9. Future Products and Licensing

Stratic Systems products may include CADSync, DEP, STX, DART, Stratic Cloud, future connector modules, APIs, device systems, field technologies, enterprise deployments, and additional software or services developed by Stratic Systems LLC.

Future commercial licensing, enterprise deployment, offline installations, private hosting, connector modules, device systems, APIs, advanced features, and customer-specific implementations may require separate written licensing agreements.

Product capabilities, deployment options, licensing models, and supported integrations may evolve over time as the platform develops.

10. Organizational Knowledge and Human-Centered Technology

Stratic Systems is built around the principle that organizations create valuable knowledge through engineering, operations, manufacturing, service, field experience, and continuous improvement.

The purpose of Stratic Systems products is to help preserve knowledge, improve continuity, strengthen decision-making, and empower people through better access to information and organizational memory.

Nothing in this agreement shall be interpreted as transferring ownership of customer knowledge, intellectual property, engineering records, organizational memory, or operational experience to Stratic Systems LLC except where expressly agreed in writing.
