End User License Agreement (EULA)

1. License Grant

Subject to this agreement and any applicable order, subscription, pilot agreement, or other written agreement, Stratic Systems LLC grants authorized users a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use approved Stratic Systems software, applications, APIs, integrations, connectors, and related services for authorized internal, evaluation, pilot, or commercial purposes.

2. Stratic Intellectual Property

Stratic Systems software, source code, proprietary architecture, interfaces, documentation, trademarks, branding, schemas, and related technology remain the property of Stratic Systems LLC or its licensors unless expressly transferred in a separate written agreement.

This license gives the user permission to use the authorized software. It does not transfer ownership of Stratic intellectual property.

3. Restrictions

Unless applicable law or written authorization permits otherwise, users may not:

• Redistribute, sublicense, rent, lease, or resell the software without authorization
• Bypass licensing, authentication, entitlement, or access controls
• Use credentials, accounts, or organization access without authorization
• Remove copyright, trademark, or proprietary notices
• Use the software for unlawful, malicious, or unauthorized activity
• Reverse engineer or extract protected implementation details except where permitted by law, written authorization, or an applicable published security-testing policy

4. Customer Data and Intellectual Property

Customer drawings, CAD files, engineering records, business data, project information, documents, configurations, and other customer-provided content remain the property of the customer or other lawful owner.

Use of Stratic software does not transfer ownership of customer intellectual property to Stratic Systems LLC unless the parties separately agree in writing.

5. Authorized Data Use

Stratic may process information as necessary to provide the enabled software, integration, support, security, licensing, account, or platform functionality. The specific data path may vary by product and configuration.

Users are responsible for ensuring that they have authority to provide, connect, synchronize, or process the information used with Stratic software.

6. Beta, Pilot, and Development Status

Portions of Stratic software may operate in prototype, beta, pilot, evaluation, preview, or development status. Features may change, break, become unavailable, or be removed during development.

Early-access use may also be governed by separate Beta and Early Access Terms.

7. AI-Assisted and Engineering Features

Stratic software may provide AI-assisted explanations, classifications, recommendations, guidance, retrieval, validation support, geometry analysis, workflow automation, or other engineering-intelligence features.

These capabilities are intended to assist users. Unless separately agreed in writing, users remain responsible for reviewing and approving consequential engineering, operational, legal, financial, safety, and business decisions.

8. No Professional Certification

Unless separately agreed in writing, Stratic software does not provide licensed engineering certification, professional stamping, legal advice, code-compliance certification, safety certification, regulatory approval, or other professional sign-off.

9. Third-Party Services and Integrations

Stratic software may integrate with third-party software, APIs, authentication providers, cloud platforms, CAD systems, project systems, manufacturing systems, or other services. Use of those services may also be governed by their own licenses and terms.

10. Security and Account Responsibility

Users are responsible for protecting credentials, devices, organization access, and integration permissions under their control. Stratic may suspend access where it reasonably believes an account, integration, or system presents a security risk.

11. Availability and Updates

Software, APIs, integrations, supported platforms, licensing models, and features may change over time. Stratic may provide updates, replacements, migrations, or deprecations as products develop.

12. Disclaimer of Warranties

Except where a separate written agreement states otherwise, Stratic software is provided “as is” and “as available” without warranties of uninterrupted availability, accuracy, merchantability, fitness for a particular purpose, or freedom from errors.

13. Limitation of Liability

To the maximum extent permitted by applicable law and except where a separate written agreement provides otherwise, Stratic Systems LLC is not liable for indirect, incidental, special, exemplary, consequential, or business-interruption damages arising from use of, inability to use, or reliance on the software.

14. Suspension and Termination

Stratic may suspend or terminate access for material violation of this agreement, unauthorized use, security threats, unlawful activity, nonpayment where applicable, or conduct that materially threatens the integrity of Stratic systems or other users.

15. Human-Centered Engineering

Stratic Systems builds engineering intelligence to increase what people can understand and accomplish. Its tools may teach, guide, validate, automate, and connect engineering work, but the customer retains ownership of its expertise, decisions, records, and intellectual property.
